01Agreement to these terms
By accessing this website or engaging Mindcore Technologies ("we", "us"), you agree to these terms. If you do not agree with them, please do not use the site or our services.
02Our services
We provide software design, development, modernisation, AI integration and related consulting. The specific scope, deliverables, timeline and fees for any engagement are set out in a separate proposal or statement of work. Where that document conflicts with these terms, that document takes precedence.
03Website use
- Use the site lawfully and do not interfere with its operation or security.
- Do not attempt to gain unauthorised access to any part of the site or its infrastructure.
- Do not scrape, copy or republish substantial parts of the site without written permission.
- Do not use the site to transmit malware or unlawful, misleading or infringing material.
04Quotes and engagements
Estimates shared before a signed agreement are indicative and based on the information available at the time. An engagement begins only when both parties sign a proposal or statement of work. Changes to agreed scope are handled through a written change request, which may affect cost and timeline.
05Fees and payment
Fees, milestones and the payment schedule are defined in the applicable agreement. Unless stated otherwise, invoices are payable within 15 days of issue. We may suspend work on overdue accounts after written notice. Fees are exclusive of taxes, which are charged where applicable.
06Intellectual property
On full payment, ownership of the custom deliverables created for you transfers to you. We retain ownership of our pre-existing tools, libraries, frameworks and general know-how, and grant you a perpetual, non-exclusive licence to use them as embedded in the deliverables. Third-party and open-source components remain governed by their own licences.
All content on this website, including text, layout, graphics and the Mindcore Technologies name and logo, remains our property.
07Client responsibilities
- Provide timely access to the people, systems, content and approvals a project depends on.
- Ensure that any material you supply is accurate and that you have the right to use it.
- Review deliverables and give consolidated feedback within agreed review windows.
- Maintain your own accounts, licences and hosting unless we have agreed to manage them.
08Confidentiality
Each party will keep the other's non-public information confidential, use it only for the purpose of the engagement, and protect it with at least reasonable care. This obligation survives the end of the engagement and does not apply to information that is public, already known, or independently developed without reference to the disclosure.
09Warranties and disclaimers
We warrant that our services will be performed with reasonable skill and care by suitably qualified people. We will correct defects reported within 30 days of delivery that cause a deliverable to depart materially from its agreed specification, at no charge.
Beyond that, the website and its content are provided "as is". We do not warrant that the site will be uninterrupted or error-free, and we make no guarantee about outcomes generated by AI features, which should be reviewed before being relied upon.
10Limitation of liability
To the fullest extent permitted by law, neither party is liable for indirect, incidental or consequential loss, or for lost profits, revenue or data. Our total aggregate liability arising out of an engagement is limited to the fees paid to us under that engagement in the 12 months preceding the claim. Nothing here limits liability that cannot lawfully be limited, including for fraud or death and personal injury caused by negligence.
11Termination
Either party may terminate an engagement with 30 days' written notice, or immediately if the other commits a material breach that is not cured within 15 days of notice. On termination you pay for work completed and costs committed up to that date, and we hand over the deliverables produced.
12Third-party services
Projects often rely on third-party platforms such as cloud hosting, payment gateways and AI model providers. Those services are governed by their own terms and pricing, and we are not responsible for their availability, changes or failures.
13Governing law
These terms are governed by the laws of India, and the courts of Ludhiana, Punjab have exclusive jurisdiction over any dispute, unless a signed agreement states otherwise. We encourage raising concerns with us directly first — most issues are resolved in a conversation.
14Changes and contact
